#1: Conciliation and Arbitration are basically the same thing where two parties in a dispute ask a third party (either called a conciliator or arbitrator) to help them solve the dispute. However, the difference is that conciliation is not legally binding as the conciliator does not have the power to tell the parties what to do. They can only offer advice. The arbitrator in arbitration meanwhile can and it is legally binding.

#2: An offer is a legal if it's clear, complete and unconditional. However, advertisements, price tags and shop displays are not legal offers, they are an invitation to treat.
